Welcome to MATAGI (referred to as "we," "us," or "our"). These Terms and Conditions (the "Terms") govern your use of our website, platform, APIs, and services (collectively, the "Service"). By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you must not use or access our Service.

1. Overview of the Service

1.1 Purpose

MATAGI is a seamless signup validation and lead-enrichment platform. We analyze and classify leads or signups (e.g., by domain or email) to determine a potential buyer's business model, niche, or other attributes. Our goal is to help B2B SaaS companies identify and prioritize high-value customers.

1.2 Use Cases

Lead Qualification and Enrichment: Automate the process of identifying whether a particular domain or signup aligns with your target customer profile.
API Integration: Integrate our Service directly into your onboarding workflow or CRM to retrieve enriched data about your leads.

2. Eligibility and Acceptance

2.1 Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Service. By using our Service, you represent and warrant that you have the right, authority, and capacity to agree to these Terms.

2.2 Acceptance

By creating an account, integrating our APIs, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

3. User Obligations

3.1 Lawful Use

You agree not to use MATAGI for any purpose that is unlawful, prohibited by these Terms, or otherwise harmful to our interests. You shall not:

Use or attempt to use the Service to engage in any illegal activity.
Interfere with or disrupt the integrity or performance of the Service.

3.2 Data Permissions

You are solely responsible for ensuring that you have the necessary rights, consents, and permissions to share any data (e.g., domains, user information, emails) with MATAGI. You must comply with all applicable privacy and data protection laws (e.g., GDPR if you process EU resident data).

3.3 Accuracy of Data

You acknowledge and agree that the quality and reliability of our output depends on the data you provide. You are responsible for entering accurate information; we will not be liable for errors resulting from inaccurate or incomplete information.

3.4 Account Security

You are responsible for maintaining the confidentiality of any login credentials and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or breach of security.

4. Our Obligations and Service Availability

4.1 Service Performance

We strive to keep the Service operational and available at all times. However, we may experience downtime for maintenance or other reasons. We do not guarantee uninterrupted access and disclaim liability for any outages or disruptions.

4.2 Data Processing

We will process data you submit for the limited purpose of providing the Service. We adhere to applicable data protection laws and our published Privacy Policy.

4.3 Right to Terminate

We reserve the right to terminate or suspend your access to the Service, at our sole discretion, for any reason, including violation of these Terms or any conduct we believe is harmful or unlawful. We may do so without prior notice, and shall bear no liability for any damage that may arise from such termination or suspension.

5. Pricing, Billing, and Refunds

5.1 Pricing

Current pricing and subscription tiers for the Service are published on our website or within the MATAGI platform. We may change our pricing at any time, but if you have a paid subscription, changes will generally apply at the end of your current billing cycle unless otherwise stated.

5.2 Billing

If you subscribe to a paid plan, you authorize us (or our third-party payment processor) to charge you for the applicable fees.
Fees are typically charged in advance or per billing cycle, or as otherwise stated in the product. They are comprised of the base fee and overage fee, these are explained in the purchase process.

5.3 Refunds

Unused Service: Refunds are only available if you have not used the Service after making a payment.
Request Period: You must request a refund within 14 days of the payment date by emailing hello@matagi.io.

5.4 Taxes

You are responsible for any applicable taxes or duties associated with your subscription or use of the Service, you may be charged VAT according to rates in Estonia. Reverse charge is available within the EU if a valid VAT number is provided.

6. Prohibited Conduct

6.1 Abuse of the Service

You agree not to misuse, exploit, or abuse the Service in any manner. This includes, but is not limited to:

Attempting to gain unauthorized access to our systems or data.
Overloading, flooding, spamming, or crashing the Service.
Using the Service to violate privacy laws.

6.2 Illegal Activities

You shall not utilize or integrate MATAGI for any illegal or unauthorized purpose, such as fraud, money laundering, identity theft, or other criminal acts.

7. Intellectual Property

7.1 Ownership

We and/or our licensors own all right, title, and interest in and to the Service, including all intellectual property rights. Nothing in these Terms shall transfer any ownership rights to you.

7.2 License to Use

Subject to your compliance with these Terms and any applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Feedback

If you choose to provide us with any ideas, suggestions, or feedback, you agree that we may use them without restriction or compensation to you.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT FROM OUR SERVICE.

9. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless MATAGI, its affiliates, officers, directors, employees, and agents from and against all liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your misuse of or access to the Service.
Your violation of these Terms or any applicable law.
Any data you submit to MATAGI without proper consent or in violation of third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising under these Terms or relating to the Service shall be settled in accordance with the laws of the Republic of Estonia. You consent to the exclusive jurisdiction of the courts located in Estonia for the resolution of any dispute.

12. Modifications to the Terms

We reserve the right to modify or replace any part of these Terms at our sole discretion. If we make significant changes, we will notify you by posting an update on our website or by sending you a notice via email. Your continued use of the Service following any changes constitutes acceptance of those changes.

13. Termination

13.1 Voluntary Termination

You may discontinue your use of the Service at any time.

13.2 Termination by Us

We may suspend or terminate your account or your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our discretion.

13.3 Effect of Termination

Upon termination, all licenses granted herein immediately end. Any provisions that by their nature should survive termination (e.g., disclaimers, limitation of liability, indemnification) will survive.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and MATAGI regarding the Service.

14.2 Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.

14.5 Headings

Headings used in these Terms are for convenience only and shall not affect the interpretation.
